Frequently asked questions about starting a business in Switzerland

Starting a business in Switzerland is relatively straightforward, but there are some essential steps. First, you need to define the legal form (most often an LLC/GmbH or a corporation/AG), the purpose of the business, the source of funds, the ownership structure, and the person(s) who will manage the company. Once these elements are clarified, the initial capital is deposited with a bank, the deed of incorporation is validated by a notary, and the entire file is submitted to the Commercial Register for official approval.

In the simplest cases, setting up a company takes on average three to four weeks. However, depending on the complexity of the file and any pending questions, the process can take longer. Based on experience, some companies take up to four months before obtaining final registration.

It is important to distinguish between share capital and incorporation costs. For an LLC (Sàrl), the minimum capital is CHF 20,000, while a corporation (SA) requires between CHF 50,000 and CHF 100,000. This capital is not an expense but an asset contributed to the company that remains yours. The real costs are mainly the notarial deed. FBKConseils’ fees are not mandatory, but rather an investment in professional guidance that secures the entire process.

Our services already include the drafting of the articles of association, official documents, and notary fees. The only extra cost is the Commercial Register fees, which range between CHF 300 and CHF 550 for registering your company.

A sole proprietorship is a simple and quick way to test a business idea. But beyond this advantage, it has many drawbacks: unlimited liability on personal assets, limited tax planning options, and difficulties in bringing in partners or transferring the business. As soon as you have the minimum required capital, creating an LLC is almost always preferable, as it provides better legal protection and real growth opportunities.

For most small and medium-sized businesses, LLCs and corporations offer similar advantages in terms of management and taxation. The main difference lies in shareholder anonymity and ease of transfer. Shares in a corporation can be sold or transferred more easily than ownership interests in an LLC. In practice, many entrepreneurs start with an LLC and later convert it into a corporation when they want to facilitate a sale or succession.
